Terms and conditions governing your use of NightingaleMD services
These Terms of Service ("Terms") govern your access to and use of the NightingaleMD website at nightingale.md and the Florence AI Voice Care Navigator platform (collectively, the "Services") provided by NightingaleMD, Inc. ("NightingaleMD," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing our website or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
NightingaleMD provides the Florence AI Voice Care Navigator, an artificial intelligence-powered platform designed to assist healthcare providers, health plans, and patients with chronic care management, care coordination, and health information exchange. Our Services include:
- AI-powered voice care navigation for chronic disease management
- EHR integration and FHIR-based health data interoperability
- Care gap identification and closure workflows
- Multilingual patient outreach and engagement
- Clinical decision support and documentation assistance
3. Important Medical Disclaimer
Florence AI assists healthcare professionals but does not replace clinical judgment. All medical decisions remain under the supervision of licensed healthcare providers. The Florence platform operates under physician delegation and is designed to augment — not replace — the clinical care team.
NightingaleMD does not provide medical advice, diagnosis, or treatment directly to patients. The information and interactions facilitated by Florence are intended to support care management workflows under the direction of qualified healthcare professionals.
4. User Responsibilities
When using our Services, you agree to:
- Provide accurate and complete information when requested
- Maintain the confidentiality of any account credentials
- Comply with all applicable laws and regulations, including HIPAA where applicable
- Not attempt to reverse-engineer, decompile, or disassemble any part of the platform
- Not use the Services for any unlawful or unauthorized purpose
- Not interfere with or disrupt the integrity or performance of the Services
5. Healthcare Provider Obligations
Healthcare providers and health plans using the Florence platform acknowledge and agree that:
- They are responsible for all clinical decisions made using information provided by the platform
- They will execute a Business Associate Agreement (BAA) with NightingaleMD before any PHI is processed
- They will ensure appropriate training for staff who use the platform
- They maintain responsibility for patient consent and authorization as required by applicable law
- They will report any suspected security incidents or breaches promptly
6. Intellectual Property
All content, features, and functionality of the Services — including but not limited to the Florence AI platform, Chronicity Matrix, EmpathyCore, Transition Compass, and all associated trademarks, logos, and proprietary technology — are owned by NightingaleMD, Inc. and are protected by United States and international intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse-engineer or attempt to extract the source code of that software, unless applicable laws prohibit these restrictions.
7. Data Processing and HIPAA
Our handling of Protected Health Information (PHI) is governed by HIPAA and applicable state privacy laws. All PHI processing is subject to executed Business Associate Agreements between NightingaleMD and the applicable covered entity.
8. Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or security purposes. We will make reasonable efforts to provide advance notice of planned downtime.
9. Limitation of Liability
To the maximum extent permitted by applicable law, NightingaleMD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless NightingaleMD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
11. Termination
We may terminate or suspend your access to the Services at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
